1. Introduction and Acceptance

Welcome to CognX (pronounced “cog-nex”), a SaaS product operated by Som Chakravarty (sole proprietor, based in Bangalore, India) and accessible at cognx.ai (“Service,” “we,” “us,” or “our”).

By accessing or using CognX, you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

These Terms incorporate by reference our Privacy Policy and Refund Policy.

2. Description of Service

CognX connects, reads, acts, automates, and analyzes across GitHub, Linear, and Jira via Slack. The Service enables teams to streamline workflows, automate repetitive tasks, and gain insights across their development and project management tools — all from within Slack.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials.

3.3 Account Security

You are responsible for all activity that occurs under your account. Notify us immediately at support@cognx.ai if you suspect unauthorized access.

4. Subscription Plans, Billing, and Payment

4.1 Plans and Pricing

CognX offers the following subscription plans:

Add-ons: Additional users ($5/user/mo), additional channels ($5/channel/mo), and additional AI credit packs ($20 per 500 credits).

Bring Your Own Model (BYOM): All plans support connecting your own LLM API key, which provides unlimited AI credits at no additional charge from CognX. You are responsible for any costs from your LLM provider.

4.2 Free Trial

New users are eligible for a 14-day free trial. No payment is required during the trial period. If you do not subscribe to a paid plan before the trial expires, your access to paid features will be suspended.

4.3 Billing

• Subscriptions are billed monthly or annually in advance, depending on your selected billing cycle.
• All fees are quoted in US Dollars (USD) and are exclusive of applicable taxes.
• You authorize us to charge your chosen payment method on a recurring basis.

4.4 Price Changes

We may modify pricing with at least 30 days' written notice. Continued use after the effective date of a price change constitutes acceptance of the new pricing.

4.5 Refunds

Refunds are handled in accordance with our Refund Policy.

5. Permitted Use

You agree to use CognX only for lawful purposes and in compliance with these Terms. You shall not:

• Use the Service to violate any applicable law or regulation.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Attempt to gain unauthorized access to the Service, other accounts, or connected systems.
• Use the Service to transmit malware, spam, or other harmful content.
• Resell, sublicense, or redistribute the Service without our written consent.
• Use the Service in any manner that could damage, disable, or impair its operation.
• Scrape, crawl, or use automated means to access the Service outside of its intended interfaces.
• Interfere with or disrupt the integrity or performance of the Service.

6. Intellectual Property Rights

6.1 Our IP

CognX, including its software, design, logos, trademarks, documentation, and all related intellectual property, is and remains the exclusive property of Som Chakravarty. Nothing in these Terms grants you any ownership rights in the Service.

6.2 Your Data

You retain all rights to the data you submit to or generate through the Service (“Your Data”). By using CognX, you grant us a limited, non-exclusive license to process Your Data solely to provide and improve the Service.

6.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, we may use them without obligation to you.

7. Data Handling

We take data protection seriously. Our handling of your personal and organizational data is governed by our Privacy Policy.

By using CognX, you acknowledge that:

• We process data from connected third-party services (GitHub, Linear, Jira, Slack) as necessary to provide the Service.
• We do not sell your data to third parties.
• We implement reasonable security measures to protect your data.

8. Third-Party Integrations

8.1 Connected Services

CognX integrates with GitHub, Linear, Jira, and Slack (collectively, “Third-Party Services”). Your use of these Third-Party Services is governed by their respective terms of service and privacy policies.

8.2 Authorization

By connecting a Third-Party Service to CognX, you authorize us to access and process data from that service on your behalf, within the scope of permissions you grant.

8.3 Third-Party Availability

We are not responsible for the availability, accuracy, or functionality of Third-Party Services. Changes to third-party APIs or terms may affect CognX functionality, and we are not liable for any resulting service disruptions.

8.4 Compliance

You are responsible for ensuring that your use of CognX with Third-Party Services complies with those services' terms and any applicable laws.

9. Service Availability and Support

9.1 Availability

We aim to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice.

9.2 Support

Support is available via email at support@cognx.ai. Response times and support levels may vary by plan.

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOM CHAKRAVARTY, COGNX, OR ITS AFFILIATES BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, data, business, or goodwill.
• Any damages arising from your use of or inability to use the Service.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10.3 Acknowledgment

You acknowledge that the Service interacts with third-party systems and that we are not liable for any actions, data loss, or issues arising from those third-party integrations.

11. Indemnification

You agree to indemnify and hold harmless Som Chakravarty and CognX from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights.

12. Termination

12.1 By You

You may cancel your subscription at any time through your account settings or by contacting support@cognx.ai. Cancellation takes effect at the end of your current billing period.

12.2 By Us

We may suspend or terminate your access to the Service at any time, with or without notice, if:

• You breach these Terms.
• Your use poses a security risk to the Service or other users.
• We are required to do so by law.
• We discontinue the Service (with reasonable notice).

12.3 Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately.
• We may delete your data after a reasonable retention period (see our Privacy Policy).
• Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Dispute Resolution) will survive.

13. Dispute Resolution

13.1 Informal Resolution

Before pursuing formal proceedings, you agree to contact us at support@cognx.ai and attempt to resolve the dispute informally for at least 30 days.

13.2 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration administered under the rules of the Indian Council of Arbitration, seated in Bangalore, India.

13.3 Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction for matters involving intellectual property or confidentiality obligations.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. The courts of Bangalore, Karnataka, India shall have exclusive jurisdiction over any matters not subject to arbitration.

15. Modifications to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via:

• Email notification to your registered email address.
• A prominent notice on the Service.

Changes take effect 30 days after notification. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and CognX regarding your use of the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.

16.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, wars, pandemics, government actions, or internet disruptions.
